180 Degree Capital Corp. (“180 Degree Capital,” the “Company,” and “we”) is a non-diversified closed-end management investment company (“closed-end fund” or “CEF”) registered under the Investment Company Act. We operate as an internally managed investment company whereby our officers and employees, under the general supervision of our Board of Directors, conduct our operations. We are publicly traded on NASDAQ under the symbol TURN. As of May 2020, 180 Degree Capital is also registered with the SEC as an investment adviser subject to the Investment Advisers Act.

Investments in privately held companies and micro-capitalization stocks are subject to greater volatility and liquidity risks than those in larger, more established companies. There may be no market for privately held securities and, thus, no assurance that an appreciated investment can be sold while it is profitable. Similarly, trading in micro-cap stocks may be light or intermittent, limiting the ability of the strategy to either exit appreciated positions at a profit or exit falling positions to mitigate losses. Recommendations by the Company regarding these small companies may result in 180 Degree Capital owning or advising a significant portion of a company’s outstanding stock, which may subject holdings to restrictions on transfer and/or other lock-up provisions that limit the ability to sell positions in an orderly fashion. Further, the information available for review by the Company may be more limited than the information available for larger public companies, which can contribute to higher volatility and greater risk of loss of principal.

Emphasis on turnaround investing indicates the presence or prevalence of portfolio companies that have not attained profitability. Other risks associate with the investment strategy include lack of management depth and limited or no history of operations among portfolio companies. Because of the speculative nature of our investments and the lack of a liquid market for and restrictions on transfers of privately held investments, there is greater risk of loss relative to traditional marketable investment securities.
